When using particular services or materials on Ideacoil, Users, hereinafter referred to as "You", "Your", "Guest(s)", "Members", "Feedbacker(s)", "Business", "Project Posters", or "Reward or Incentive Issuer" shall be subject to any posted rules and guidelines applicable to such services or materials in addition to those in these Terms of Use. All such guidelines or rules are hereby incorporated by reference into these Terms of Use.
Ideacoil is a Website and Online application that is designed to assist businesses to obtain feedback on market research projects in various industries of interest. The site allows Business Users to post a survey questionnaire project, and voluntarily receive comments, ideas, and insights on such projects. Businesses and Feedbacker Users that wish to use the Ideacoil platform agree to use Ideacoil in accordance to the Terms of Use set forth.
Users of this Site agree that they are 14 years of age or older. BY USING THIS SITE, YOU AGREE TO BE BOUND BY THIS AGE REQUIREMENT. IF YOU DO NOT WISH TO BE BOUND BY THE THIS REQUIREMENT, PLEASE EXIT THE SITE IMMEDIATELY. YOUR REMEDY FOR DISSATISFACTION WITH THIS SITE, OR ANY PRODUCTS, SERVICES, CONTENT, INCENTIVE, REWARD, FEEDBACK, IDEAS, ANALYTICS, OR RECOMMENDATION OBTAINED THROUGH IDEACOIL, IS TO STOP USING THE SITE. YOUR AGREEMENT WITH US REGARDING COMPLIANCE WITH THESE TERMS OF USE BECOMES EFFECTIVE IMMEDIATELY UPON COMMENCEMENT OF YOUR USE OF THE IDEACOIL ONLINE OR MOBILE APPLICATION.
We expressly reserve the right to change these Terms of Use from time to time without notice to you. You acknowledge and agree that it is your responsibility to review the Ideacoil Site and these Terms of Use from time to time and to familiarize yourself with any modifications. Your continued use of this Site after such modifications will constitute acknowledgement of the modified Terms of Use and agreement to abide and be bound by the modified Terms of Use.
2. Description of the Site and User Content
The Ideacoil Site provides an online service for Business Users to post a project questionnaire, and for Feedbacker Users to send feedback and commentary that offer personal viewpoints that do not originate nor reflect those of Ideacoil as a company.
You understand and agree that ALL Site content, comments, files, videos, written work, or feedback that you choose to post, share, display, or otherwise make public or privately available on the Site, including any content which may be personally owned, contain sensitive information, copyright information, or intellectual property information as either a Business or Feedbacker, is done so voluntarily and at your discretion.
You understand that Ideacoil gives Users and Guests access to view certain demographic-based information about other Users such as age, location, gender, interests, skills, etc. Such information may be made public or private by a User. All users have profile privacy settings which may be adjusted to accommodate personal preferences, and Ideacoil shall not be held responsible for the misuse of any publicly displayed information that either intentionally or unintentionally becomes misused by any other user online or offline.
Feedback sent by Users should not be construed as giving legal, or other advice, or warranting as fail proof methodology
By accessing or using the Site, you further agree that selecting to post any type of feedback project, whether it is confidential or privately, does NOT guarantee that your project will be kept 100% confidential at all times by other members or users on the Site. For such projects, Ideacoil shall not be held responsible for any legal or monetary damages resulting from disputes between the person or entity who posted the feedback project questionnaire and the receiving party (invited or non-invited Guests or Users) who submitted feedback to the project questionnaire.
You agree that your feedback project questionnaire, which may include response submissions are unsolicited and without restriction; your disclosure will not place Ideacoil under any fiduciary or other obligation; and we are free to use, disclose without additional compensation to you. By acceptance of your project submission, Ideacoil does not waive any rights to use similar or related content previously known to Ideacoil, developed by its employees, or obtained from sources other than you of any state, country, territory or other jurisdiction.
You grant us a non-exclusive right to evaluate all posted content, project questionnaires, critiques, evaluations, feedback, messages, and gather statistical information on users and content posted for the purposes of operating our business and maintaining our services for the enjoyment of you and everyone else on the Site.
Ideacoil reserves the right to either modify or discontinue the Site, including any of the Site's features, at any time and without notice to any user. Violating our terms and services may result in your privilege being revoked as a user.
3. International Users
You agree that your posted project questionnaire, which may include response submissions are unsolicited and without restriction; your disclosure will not place Ideacoil under any fiduciary or other obligation; and we are free to use, disclose without additional compensation to you. By acceptance of your submission, Ideacoil does not waive any rights to use similar or related content previously known to Ideacoil, developed by its employees, or obtained from sources other than you of any state, country, territory or other jurisdiction.
4. User Accounts and Site Integrity
4.1 - Account Registration
Users who choose to register for an account on the Ideacoil website or Application are required to enter a valid name, email address, a custom username, and may be required to enter a valid Business Name at the time of registration, which cannot be modified later. Users may NOT register for or use more than one (1) Ideacoil account (unless a previous account has been deleted or is inaccessible), forge or mask your true identity, intentionally or willfully submit falsified information, use another person's information on the site, submit fake verification documents or phone number, or commit any other type of fraudulent account activity.
The site allows users to register via 3
rd party API's such as Google (Gmail), accounts. Ideacoil shall NOT be held responsible for any issues or disputes related to arising from such account integration with our registration process or Site. You also give us permission to collect and make use of any information shared by you as a result of your registration for an account on our Site using any 3
rd party API such as Gmail.
4.2 - Site Integrity
Users may not upload, insert, re-program, re-engineer, inject malicious code, or install any code, tool, software including fishing, malware, viruses, or time-sensitive electronic media into the Site or our server either directly or indirectly using another website or software application. Users may not cause damage, obstruct, or interfere with the normal operations of the Site or server files. Users may also not secretly intercept, confiscate or extract any system information, sensitive data, personal information, financial records, user payment accounts, database files, or coding that may or may not be stored on our site, server, directories, or 3
rd party web applications. Users may not take any action that imposes an unreasonable or excessively large capacity or "data load" on our server, files, infrastructure, or database. Users found to be conduct any illegal activities on the site such as any of those listed above or not mentioned will have their accounts termininated, and may result in lawful or legal action taken by the company without notice.
5. Site Usage
5.1 - User Added/Posted Content
Added or posted content on the site may only include writing, images, video, or audio content uploaded for a project posting that is owned and related directly to the Business or market research project. Content on the Website is maintained on an "as is" basis, and may contain technical inaccuracies or typographical errors and is at the discretion of the user who posted such content to correct it. Such content may also be changed, removed or updated by Ideacoil without notification. User posted content agrees that the content contains originally owned work, the user is authorized and licensed to use it, and the content is NOT copied, illegal, stollen, or plagiarized material. Ideacoil does NOT verify, endorse, or confirm the accuracy, authenticity, or legality of any user posted content on the site. If content is found to be in violation of an infringement or is found to be copied work, the content may be taken down immediately without notice.
5.2 - Content Responsibility and Feedback Submissions
Users shall solely be held responsible for any user content that is posted and the consequences of submitting, sharing and distributing content on the Site. By using the Site, you understand and agree that all feedback projects and content are maintained by the person who posted the project or the (Business), and ideacoil will not pre-screen projects for validity, truthfulness or accuracy of approved responses received by other Users (or Feedbackers). In addition, by allowing other users to respond to your feedback project questionnaires or submit feedback, you understand and agree that responses, which may include uploaded images and informational content/files, are opinion-based, and reflect the viewpoint and opinion of the user (or Feedbacker) submitting the feedback response, and does NOT represent the views of Ideacoil.
5.3 - Submitting Feedback Responses
Feedback Responses on the site may only include information relevant to the subject matter of the project. All feedback submitted by Users may or may not be subject to review. Depending on the project type, we may review feedback responses for quality assurance purposes. In such reviewed responses Ideacoil reserves the right to accept or reject any response at any time for any reason that in our discretion and that we find is suitable. If your response is rejected, a second opportunity to respond as a feedbacker will not available. Ideacoil will not provide any reason or statement that explains why a feedback response is rejected.
5.4 - Posting Personal Media
Users may post personally owned artwork, images, photos, logos, designs, videos or audio files (or embedded 3
rd party website content) that are in compliance with the Terms of Use and all applicable laws of the United States. Intellectual property work may be posted at your discretion, and with NO liability to us. You may not post content unless you own the intellectual property rights to such content or have written permission from the owner of such content. Referenced work contained in any writing, videos, audio, or vlog, or news or other online media content should be properly cited with its source, which must include as reference the person, or organization from which the work was copied from.
5.5 - Site Changes
We reserve the right to change or adjust fees, and technical changes made to our registration forms, user information, or any other aspects of the site, at any time and without notice
5.6 - Unauthorized Use of The Site
You agree NOT to take any action to harm or interfere with the Site's integrity, function, infrastructure, or information contained therein, by any individual or an entity's use of the Site. You may not interfere with any other users personal, property rights. You may not post any projects or submit responses that contain information or remarks that may be found to be hateful, bullying, offensive, discriminatory, inflammatory, or otherwise suggest violence, or physical or emotional harm to another person of group.
If at any time, you discover suspicious, offensive, or threatening activity or content while visiting or using the ideacoil website, or any other information that is deemed inappropriate, you may report it by contacting us here.
If any project, content, feedback, or commentary is found to be offensive, Ideacoil retains the right to remove content, block users, and deny, revoke, or suspend a user's account at any time for any reason without notice.
6. Payments and Fees
We charge fees for certain services we provide on the site. Payment and Fee transactions are processed for various User activities and may depend on the action or activity that is executed by the user. The fees that we charge on the site may change at any time without notice to you.
6.1 - Payment Account Setup
6.1a - Credit Cards Accounts:
In order to use the site as either a Business or Feedbacker, you are required to provide your payment account details and add at least one (1) valid credit card that has been registered in your full name with your real address (or the name and address of your business). Users under 18 years of age must be an authorized user of the credit card in order to add or use it on the site. Credit card information that is found to be inconsistent with personal information entered by a user on the site may result in account termination without notice to the user.
Your account on the site must be linked to a valid credit card at all times in order to ensure that quality of service is maintained for all users, and that all payment and fee transactions are processed accurately without any delay.
6.1b - PayPal Accounts:
As a secondary payment method, users 18 years or older may link a valid PayPal account to the site, but only after a credit card has been successfully added. Any added PayPal account is intended to be used as a back-up payment method only in the event a technical credit card-processing error should occur while processing a transaction or payment. Only users residing in countries permitting the use of PayPal are allowed to add and link a PayPal email address on their accounts. 6.2 - Project Posting Fees
When you post a feedback project, you agree to pay all amounts specified in your transaction along with any applicable taxes. We may revoke your eligibility to make payments on the Site at any time, for any reason, without notice. We reserve the right to cancel any transaction we suspect of violating the Terms of Use or for any other reason without notice. We may also cancel any electronic value accumulated, transferred, assigned as a result of fraudulent or illegal activity by a user without notice.
6.3 - Feedbacker Fees
When you submit feedback, comments, and upload images or files on projects or (survey questionnaires, you agree that it is a voluntary, and you have not been forced into doing so. This process is not a binding contract or an aggreement between you and Ideacoil. Projects that include Feedbacker fees may change without notice to the feedbacker due to adjustments that may be made to the project questionnaire by the Business user. Ideacoil collects a percentage amount on your response fee to operate the company. Percentage amounts may or may not be disclosed at the time of your use of the site, and can be modified at any time by the company without notice. These fees allow us to maintain services to all users, and allow us to continue operating as a business entity to deliver a continuous web experience and ensure quality of service based on changes in our business.
6.4 - Payment Transactions and Monetary Incentives
When you complete an activity requiring the submission or receival of any payment as a Business of Feedbacker user, it is linked to a paffering a payment may receive monetary incentives for their response.
By using this site, you agree to pay all amounts specified in your transaction along with any applicable taxes. We may revoke your eligibility to send payments or receive monetary incentives on the Site at any time, for any reason, without notice. We reserve the right to cancel any transaction we suspect of violating the Terms of Use or for any reason without notice. We may also cancel any payment or monetary incentive accumulated, transferred, assigned as a result of fraudulent or illegal activity without notice.
6.5 - Recalling Payments and Fees
In the event of a site malfunction that allows a Feedbacker to collect a larger than owed sum of money due to a systematic glitch or any site functionality or operations error, we reserve the right to recall the payment and if necessary, contact the user and the user's financial institution to recall the amount of money owed. The User and their financial institution will be required to return any excess amount owed as a result of any site payment processing error. If the fee is unable to be recalled within a 48-hours from our initial attempt, we reserve the right to file a legal case against the user to have the funds or any excess amount or payment recalled at the expense of the user.
6.6 - Renewed Subscription Fees
At the end of your project expiration date, your project questionnaire will not be visible on the Site (unless your posting subscription has been successfully renewed).
6.7 - Refunds
Due to our inability of retracting feedback and messaging data, Feedbacker fees, and Feedbacker incentives and rewards, we do not issue refunds after a project has been posted. Payments processed for project postings that have been accidently renewed due a site functionality error may be eligible for refunds on a case-by-case basis. Please contact us here if you believe your refund claim falls into this category.
6.8 - No Warranties We make no warranties of any kind, expressed or implied, with respect to any Fees or rewards advertised by our users, or services sold on or through ideacoil by other users. The Feedbacker Fees amounts shown on the site may or may not be 100% accurate, complete, or up to date. Therefore, users may not use the information as a substitute for performing due diligence in the activities they choose to take part in while on the site.
6.9 - Authority
When you provide funding information to us, you confirm that you are permitted to use that funding instrument. When you pay for a service on the site, you authorize Ideacoil (and our designated payment processor) to charge the full amount to the funding instrument you designate for the transaction. You also authorize Ideacoil to collect and store that funding information, along with other related transaction details in reference to your payments subject to our privacy policy. In addition, by submitting payments on the Site, you acknowledge and agree that we may make any inquiries that we consider necessary, either directly or through third parties, concerning your identity and creditworthiness. We may contact your funding instrument issuer, law enforcement, or affected third parties (including other users) and share details of any payments you are associated with, if we believe doing so may prevent financial loss or a violation of law.
6.10 -Failed Payment/funding You are responsible for any overdraft, or other transactional fees imposed by a bank or other entity as a result of a failed payment(s).
6.11 -Payment limitations
In order to prevent financial loss to you or to us, we may place a delay on a payment for duration of time, or limit a particular funding method for a transaction, or limit your ability to pay for a service, or limit your ability to get paid for a submitted response, or deactivate your account.
6.12 - Account Removal and Payment Balances
If you leave a Balance unused for the period of time set forth by your state, country, or other governing body in its unclaimed property laws, or if you delete your account and leave a balance, or if we deactivate your account and you do not meet any conditions necessary to reinstate the account within SIX (6) months, we may process your balance in accordance with our legal obligations, including by submitting funds associated with your Balance to the appropriate governing body as required by law.
6.13 -Payment Disputes
All collected payments are final for project postings and feedbacker fees. We may intervene in disputes concerning payments that may arise between you and another user, but we have no obligation to do so.
6.14 -Security and Duty to notify us
You are responsible for maintaining the security of your Ideacoil account. If you believe that an unauthorized transaction has taken place using your account, you agree to notify us immediately, so that we may take action to attempt to prevent additional financial loss. Unless you submit the claim to us within 30 days after the change in your account, you will have waived, to the fullest extent permitted by law, all claims against us arising out of or otherwise related to the transaction.
6.15 - Subscription Cancellation
Subscriptions on the site are term-based, and are intended to run for a set period of time. Full or partial payments cannot be refunded once a subscription has been processed on the site. You may cancel any running subscription at any time. If cancelled, any number of days left on your subscription will not carry over to a new project posting.
If subscriptions are cancelled, you are still responsible for paying for any feedback responses approved until the end of the subscription term.
6.16 - Tax Liability
It is your responsibility to remit any taxes that apply to your transactions as per country, state and city tax laws. You agree to indemnify and hold us harmless from and against any claim arising out of your failure to do so.
6.17 - Notices and Amendments to These Payment Terms
By using the Site's payment services, you agree that we may communicate with you electronically any important information regarding your transactions or your account. We may also provide notices to you by posting them on our website, or by sending them to you via an email and/or street address that you provide on your Profile page and account page.
6.18 - Amendment Guidelines
We may update these Payments Terms at any time without notice as we deem necessary to the full extent permitted by law. The Payments Terms in place at the time you confirm a transaction will govern that transaction.
7.0 Feedbacker Reward Offerings (a.k.a. Insight Rewards)
7.1 - Reward Definition
Rewards are unexchangeable, non-monetary gift offerings given by the issuer, or Business User at their sole discretion in exchange for feedback, and may be canceled or revoked at any time without notice by the Issuer. Rewards are not redeemable or exchangeable for cash or any type of other service outside of the scope of getting feedback, and is subject to all terms and conditions of the site including the terms of the User or Business Entity (issuer) posting the reward. Any modifications of a reward offering is at the discretion of the Business User or Issuer. 7.2 -Business User/Issuer Reward Terms
By using the site, Business Users agrees that separate reward terms must be disclosed and included on any project that is offering rewards. Business User must fully disclose detailed terms of the reward offering, which must include ALL requirements the Feedbacker must meet before rewards are distributed.
7.3 - Prequalification for Redeeming Rewards
Your prequalification for being eligible to receive a reward does not imply that a reward will be given to you. Several factors including but not limited to; how well you match (as a Feedbacker) on a project, reward conditions set by Issuer, reward availability, and reward category (e.g., a sweepstakes, drawing or raffle) may reduce your chances for qualifying for a reward. Feedbacker agrees that reward giveaways that may be in the form of a sweepstakes, raffle or drawing may include an entirely randomized process imposed by the Issuer and that Ideacoil has no control over which feedbackers are selected for rewards. In such projects, Feedbacker understands that the reward selection is at the discretion of the Busines User or issuer.
By redeeming a reward, Feedbacker agrees to hold the Company harmless of any legal disputes that may arise prior or after a reward is redeemed. 7.4 - Claiming/Redeeming Rewards
There are 3 types of rewards that can be redeemed on the site: Mail-in, In-Person, and Online. Each reward type requires specific steps to be taken by the qualifying or selected Feedbacker in order to claim or redeem a reward. Feedbacker agrees failing to complete these steps on a timely basis may result in a delay, or a possible loss or cancellation of the reward. If rewards are not redeemed on time, Feedbacker cannot attempt to reclaim the reward at a later time.
7.5 - Reward Status and Notification
The status of rewards must be updated by both the Business User and the Feedbacker on a timely basis in the Reward Management Page, located in the user's Dashboard to ensure that rewards are efficiently processed. Correspondence including required, pending or completed activities between both parties are shown chronologically in both user Dashboards. By attempting to redeem or claim a reward, the Feedbacker acknowledges that ALL Feedbacker qualifications have been successfully met prior to redeeming.
7.6 - Reward Delivery
Ideacoil does not ship out any rewards to Feedbackers. The Issuer (Business User) is responsible for shipping (only Mail-In) rewards to the qualifying Feedbacker, based on the required (real address) indicated on a Feedbacker's profile. Information to claim Online rewards will be shown in the Feedbacker's Reward timeline, which is located in the Feedbacker's Dashboard. In-Person rewards can be claimed at the business location or premises of the Business user where the feedback is submitted.
7.7 - Reward Warranty
The reward is an incentive given by the businesses at their sole discretion, and its privileges maybe canceled or revoked at any time without notice. Reward is not redeemable or exchangeable for cash and is subject to all terms and conditions of use as established by the issuer or Business User. Ideacoil is not responsible for lost, stolen or expired rewards, including the information or content written that describes the issuer's reward terms. Therefore, participating in a reward-based project on the Site constitutes acceptance of the Issuer's current terms and that of our terms.
8. Account Termination
Ideacoil may at any time and without prior notice and in its sole discretion, remove any user and/or posted content by any user, and terminate a user's account for submitting and posting any material that found in violation of the Terms of Use.
9. External Links on the Site
Ideacoil may contain 3
rd Party website links and URLs to third-party websites that may not directly be affiliated with Ideacoil as a company. Links shall be provided directly from advertisers for the sole purpose of referencing or displaying 3rd Party advertisements for their services or products. Ideacoil does not endorse any externally linked website and shall not be held liable for the content of any externally linked website either intentionally or accidentally clicked on by You while using the Site. Any linked URLs MUST NOT direct users to internet content that contains harmful, offensive, obscene or otherwise objectionable content. Doing so will result in the permanent termination of a User's account, and the user who engages in such activities may be subjected to litigation repercussions at the expense of the user.
The following rules apply to all links posted on the Ideacoil website
Links may not be in the form of a text-only link and be clearly marked with its full URL address, for example: https://www.mysitename.com.
Links may not re-direct Users to a disclosed or undisclosed website that contain content or code used for advertising fraudulent services, products, or rewards, or inactive fundraising campaigns.
Links may not direct users to a site that contains phishing program(s), spam, malware, internet viruses, or any content that displays offensive, graphic, sexually explicit, or otherwise objectionable content that is unrelated or inconsistent with the subject matter of the feedback project itself.
Links may not contain hidden information, such as but not limited to malicious code or program(s), texts or characters that may disrupt the normal operations of the Ideacoil Site.
Ideacoil does not endorse any externally linked website and the Company shall not be held liable for the content of any externally linked website. Ideacoil reserves the right to remove any external links, or the accounts of Users who post them at any time without notice.
10. Third Party Content
IDEACOIL DOES NOT RECOMMEND OR ENDORSE ANY DISPLAYED ADVERTISEMENT(S), AND IS NOT RESPONSIBLE FOR THE TECHNICAL ACCURACY OR RELIABILITY OF ANY INFORMATION, OPINIONS, ADVICE, OR STATEMENTS POSTED BY ITS USERS. IT IS THE RESPONSIBILITY OF EACH USER TO EVALUATE THE ACCURACY, COMPLETENESS AND INTEGRITY OF ALL INFORMATION OR CONTENT SHOWN ON THE IDEACOIL WEBSITE BY THIRD PARTIES.
11. Ownership The Website and all intellectual property rights included in or related to Website are owned or licensed by Ideacoil.
A User shall NOT, under these Terms of Use have permission to reproduce, reverse engineer, modify, decompile, resale, disassemble, alter or create copies of any information, logo, trademark, design or code found or displayed on the Site. Users may NOT use or copy any intellectual property or proprietary information shown on the Website without express written consent from ideacoil.
You understand and agree that all survey, questionnaire and guidelines on the Site are provided by ideacoil for guidance purpose only and cannot be removed from the Site, reproduced directly or derivatively, or distributed by any user or third party for any commercial purpose.
12. Our Relationship with Users By using the Ideacoil website, no agency, partnership, joint venture, employee/employer or franchisor-franchisee relationship is assumed or established by agreeing to these Terms of Use or between any Users of the Site.
Information posted by users on the website is owned by Ideacoil during the duration of time for which the content is posted. Ideacoil shall not be held responsible for sharing or releasing user information in compliance with any laws or government or agency investigations.
Ideacoil reserves the right to take any legal action available with respect to any user's actions relating to or associated with the Site.
13. Governing Law and Jurisdiction
The
Ideacoil.com website operates under Ideacoil LLC., which is a company established in New York, NY. Ideacoil can be accessed from all 50 states within the United States, as well as accessed from other countries worldwide. The user of the Site understands that each of these places may have laws, rules and regulations for internet usage that may differ from those of The United States. By accessing and using the Website from your location, you agree that all actions and disputes arising out of or relating to the use of the Site shall be governed by the internal substantive laws of the State of New York, with respect to its conflict of laws principles. Any claim or dispute between you and Ideacoil LLC or the Site that arises in whole or in part from, or is in any way connection to, your or any users use of the Site shall be decided exclusively by a court of competent jurisdiction located in New York, New York, United States of America and All users submit to jurisdiction and venue in the courts of New York for such purposes.
14. Limitations of Liability
In the event that a user has a dispute with one or more other users or vendors or advertisers on the website, you release us from claims, demands and damages (consequential and punitive) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, written or unwritten arising out of or in any way connected with the Website or Ideacoil Company. You waive the provisions of any law or regulation limiting or prohibiting a general release that Ideacoil.com is not liable for any behavior or actions that may result from postings and advertisements on the website.
Occasionally, the ideacoil.com website may undergo scheduled maintenance, which may require immediate (emergency) or prolonged maintenance work.
